Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Transio Technologies Limited ("Company," "we," "us," or "our"), a company registered under the laws of the Republic of Ghana, governing your access to and use of the Cryptio encryption software and related services (collectively, the "Service").
By downloading, installing, accessing, or using Cryptio, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
These Terms are governed by and shall be interpreted in accordance with the laws of the Republic of Ghana, including but not limited to the Data Protection Act, 2012 (Act 843), the Cybersecurity Act, 2020 (Act 1038), and the Electronic Transactions Act, 2008 (Act 772).
2. Description of Service
2.1 Nature of Service
Cryptio is professional-grade encryption software designed to protect sensitive files and data using industry-standard cryptographic algorithms. The Service enables users to encrypt, decrypt, and securely manage digital files on their local devices.
2.2 Zero-Knowledge Architecture
IMPORTANT: Cryptio operates on a zero-knowledge architecture. This means:
- All encryption and decryption operations occur locally on your device
- Your encryption keys are generated, stored, and managed exclusively on your device
- We do not have access to your encryption keys, passwords, or the content of your encrypted files
- We cannot recover your data if you lose or forget your encryption password
- Your encrypted files are never transmitted to our servers
2.3 Local Processing
All cryptographic operations are performed locally on your device. The only network communications from Cryptio are: (a) license validation requests to verify your subscription status; (b) optional software update checks; and (c) crash reporting (if enabled by you). None of these communications include your encrypted data or encryption keys.
3. User Responsibilities
3.1 Password and Key Management
You are solely responsible for:
- Creating and maintaining strong, unique passwords for encryption
- Securely storing and backing up your encryption passwords and keys
- Protecting your passwords from unauthorized access
- Understanding that lost passwords cannot be recovered by us or any third party
3.2 Lawful Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations of the Republic of Ghana and any other jurisdiction in which you use the Service. You acknowledge that you bear sole responsibility for the content you encrypt and the manner in which you use the Service.
3.3 Compliance with Data Protection Laws
If you are a data controller or data processor as defined under the Data Protection Act, 2012 (Act 843), you acknowledge that your use of Cryptio forms part of your technical measures to secure personal data as required by Section 28 of that Act. You remain solely responsible for your overall compliance with data protection obligations.
4. Prohibited Uses
You agree NOT to use the Service to:
- Conceal evidence of any criminal activity or obstruct any lawful investigation
- Store, transmit, or conceal child sexual abuse material or any content exploiting minors
- Facilitate terrorism, money laundering, or other serious offences as defined under Ghanaian law
- Violate any applicable law, regulation, or third-party rights
- Circumvent, disable, or interfere with security features of the Service
- Reverse engineer, decompile, or disassemble the Service except as permitted by law
- Sublicense, sell, resell, transfer, or distribute the Service without our express written consent
Violation of these prohibited uses may result in immediate termination of your license and may be reported to appropriate law enforcement authorities.
5. Licensing and Subscriptions
5.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.
5.2 Subscription Plans
The Service is offered under the following subscription plans:
- Free Trial: 7-day limited access for evaluation purposes
- Basic Plan: GHC 60/month or GHC 600/year
- Professional Plan: GHC 300/month or GHC 3,000/year
- Enterprise Plan: Custom pricing for organizations
5.3 Payment and Renewal
Subscriptions are billed in advance on a monthly or annual basis. Unless cancelled before the renewal date, subscriptions will automatically renew at the then-current rates. You may cancel your subscription at any time through your account settings or by contacting support@getcryptio.com.
6. Intellectual Property
The Service, including all software, designs, text, graphics, and other content, is owned by Transio Technologies Limited and is protected by copyright, trademark, and other intellectual property laws of Ghana and international treaties. You acquire no ownership rights in the Service by using it.
7. Disclaimers and Limitations of Liability
7.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7.2 No Warranty of Uninterrupted Service
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You acknowledge that no encryption system is absolutely impenetrable and that cryptographic systems may be subject to future vulnerabilities.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSIO TECHNOLOGIES LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
7.4 Data Loss
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT WE CANNOT RECOVER YOUR ENCRYPTED DATA IF YOU LOSE YOUR ENCRYPTION PASSWORD. We strongly recommend maintaining secure backups of your passwords and encryption keys in accordance with your organizational security policies.
8. Indemnification
You agree to indemnify, defend, and hold harmless Transio Technologies Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any third-party rights.
9. Cooperation with Law Enforcement
We will cooperate with law enforcement authorities to the extent required by law and to the extent technically feasible. However, due to our zero-knowledge architecture, we are unable to provide access to your encrypted data or encryption keys, as we do not possess this information. For detailed information, please refer to our Law Enforcement Guidelines.
10. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion. Upon termination, your license to use the Service will cease immediately. Sections 6, 7, 8, 11, and 12 shall survive termination.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana. Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@getcryptio.com.
12. General Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Transio Technologies Limited regarding the Service.
12.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
12.4 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
