License Agreement
This License Agreement governs your use of Cryptio encryption software. By installing, downloading, or using our software, you agree to be bound by these terms. Please read them carefully.
1. INTRODUCTION
This License Agreement (the "Agreement") is a legally binding contract between you (either an individual or an entity, referred to as "Licensee" or "you") and Transio Technologies ("Licensor", "we", "us", or "our"), a business registered under the laws of Ghana.
This Agreement governs your use of the Cryptio software application, including all associated media, printed or electronic documentation, updates, and support services (collectively, the "Software").
2. ACCEPTANCE OF TERMS
BY INSTALLING, COPYING, DOWNLOADING, ACCESSING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, COPY, DOWNLOAD, ACCESS OR USE THE SOFTWARE.
3. LICENSE GRANT
3.1 Subscription License
Subject to payment of applicable license fees and compliance with the terms of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software.
3.2 Device and User Limits
Device and user limits vary by license type:
- Basic License: Single user, up to 3 devices
- Professional License: Single user, up to 6 devices
- Enterprise License: Up to 10 named users, up to 20 devices
3.3 Subscription Term
Your license is valid for the subscription period selected at purchase (either monthly or yearly) and will automatically renew unless canceled according to the terms in Section 7.
5. RESTRICTIONS
You shall not:
- Use the Software for any illegal, harmful, or malicious purpose
- Use the Software to hide or facilitate illegal activities
- Distribute, lease, license, sell, rent, or otherwise transfer the Software to any third party
- Modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software
- Remove, alter, or obscure any proprietary notices on the Software
- Use the Software to develop competing products or services
- Circumvent or attempt to circumvent any security measures in the Software
- Use the Software in violation of organizational policies or without proper authorization
- Share your license credentials or allow unauthorized use of your account
- Use the Software beyond the scope of your license type and device limits
6. OWNERSHIP AND INTELLECTUAL PROPERTY
The Software, including all intellectual property rights therein, is owned by Licensor and protected by copyright and other intellectual property laws. Licensor reserves all rights not expressly granted to you under this Agreement.
7. TERM AND TERMINATION
7.1 Term
This Agreement commences on the date you first install or use the Software and continues until terminated as provided herein.
7.2 Termination by You
You may terminate your license by canceling your subscription through your account settings or by contacting our support team. Cancellation must be completed at least 24 hours before the next billing cycle to avoid charges.
7.3 Termination by Licensor
Licensor may terminate this Agreement immediately if you fail to comply with any term of this Agreement. Upon notification of such termination, you must cease all use of the Software and destroy all copies in your possession.
7.4 Effect of Termination
Upon termination, your license to use the Software ends, and you must uninstall the Software from all devices and destroy all copies in your possession. Your encrypted data will remain accessible with your existing keys, but you will lose access to Software features and updates.
8. PAYMENT AND REFUNDS
8.1 Payment
Payment for the Software license is due at the time of purchase or subscription renewal. All fees are non-refundable except as expressly provided in Section 8.2.
8.2 Refund Policy
You may request a refund within fourteen (14) days of your initial purchase if the Software does not perform substantially in accordance with its documentation. Refund requests must be submitted to our support team along with a description of the issue. Refunds are provided at Licensor's discretion and are not available for subscription renewals.
9. SUPPORT SERVICES
9.1 Support Channels
Licensor provides technical support via email during standard business hours. Support levels vary by license type: Basic (email support), Professional (priority email support), Enterprise (24/7 email support with dedicated account manager).
9.2 Updates and Maintenance
Licensor may provide updates, patches, and fixes to the Software at its discretion. These updates may be automatic or require manual installation.
10. PRIVACY AND DATA COLLECTION
10.1 Data Collection
The Software may collect certain technical and usage information necessary for its operation, improvement, and support. The Software does not access, collect, or transmit your encrypted data or encryption keys.
10.2 Privacy Policy
Our collection, use, and protection of data is governed by our Privacy Policy, which is available on our website and incorporated into this Agreement by reference.
11. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, LICENSOR'S ENTIRE LIABILITY SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
13. GENERAL PROVISIONS
13.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ghana, without giving effect to any principles of conflicts of law.

14. ACKNOWLEDGMENT
BY INSTALLING, COPYING, DOWNLOADING, ACCESSING OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
